Welcome to Parkva. These Terms of Service (“Terms”) govern your access to and use of the Parkva software platform, websites, mobile applications, hardware, and related services (collectively, the “Services”). These Terms apply to all users, including parking facility operators, property managers, enforcement personnel (collectively, “Operators”), and individual vehicle owners, guests, or parkers (“End-Users”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. You must be at least 18 years old to use the Services.

Parkva is a Technology Provider#

Parkva is strictly a technology, software, and hardware provider. Parkva does not own, lease, manage, operate, or maintain any physical parking facilities, lots, or garages. Parkva does not provide valet services, does not take custody or control of vehicles, and does not create a bailment. All physical parking locations are operated by independent third-party Operators.

Operator & B2B Platform Use#

This section applies specifically to Operators, Property Managers, and Enforcement personnel utilizing Parkva's enterprise management, hardware, and License Plate Recognition (LPR) software.

2.1Subscriptions, Term, and Cancellation

Platform subscriptions purchased through the Parkva application are governed by the Platform Subscription Terms, including automatic monthly renewal and self-serve cancellation effective at the end of the current billing period. This paragraph applies to platform subscriptions purchased through the Parkva application on or after July 16, 2026. Subscriptions governed by an order form or other written agreement executed before that date continue under the renewal and notice terms in effect at the time of that agreement unless the parties agree otherwise in writing.

2.2Hardware and Equipment Ownership

Parkva may provide physical equipment, including but not limited to LPR cameras and mounting hardware (“Equipment”), to Operators. Unless explicitly sold to the Operator in writing (“Purchased Equipment”), all Equipment remains the sole and exclusive property of Parkva (“Parkva-Owned Equipment”).

  • Returns: Upon cancellation or termination of the applicable Order Form, the Operator must return all Parkva-Owned Equipment in good working condition within thirty (30) days via traceable shipping.
  • Damages: Failure to return Parkva-Owned Equipment, or returning it damaged beyond normal wear and tear, will result in liquidated damages being assessed to the Operator as specified in the applicable Order Form.

2.3Service Suspension

Parkva reserves the right to temporarily suspend an Operator's access to the Services or Equipment if Parkva reasonably determines that: (i) there is a threat or attack on the Services; (ii) the Operator's use disrupts or poses a security risk to the platform or other users; (iii) the Operator is using the Services for fraudulent or illegal activities; or (iv) the Operator is past due on subscription fees.

2.4Publicity Rights

Parkva may identify the Operator as a customer of Parkva in promotional materials, website displays, and case studies. The Operator grants Parkva a limited, non-exclusive license to use its name, trademarks, and logos for this purpose.

2.5DPPA Compliance and Permissible Purpose

Operators utilizing Parkva's LPR Patrol software or dashboard tools acknowledge they may access sensitive vehicle and driver registration information. You expressly certify and warrant that any lookup, retrieval, or use of vehicle registration data through the Parkva platform will be executed strictly for a “permissible purpose” as defined by the Driver's Privacy Protection Act (DPPA) (18 U.S.C. § 2721 et seq.) and applicable state privacy laws (e.g., in connection with the lawful towing, booting, or impoundment of an unauthorized vehicle). Any unauthorized lookup or misuse of LPR/DMV data is strictly prohibited and constitutes a material breach of these Terms.

2.6Premise and Enforcement Liability

The Operator maintains sole responsibility for the physical management of the parking facilities. This includes, but is not limited to, the posting of clear, conspicuous, and legally compliant signage regarding parking rules, rates, and enforcement actions. The Operator is solely responsible for the physical execution of all enforcement actions (including booting, towing, and citation issuance) and guarantees that such actions comply with all local, state, and municipal laws.

2.7Indemnification by Operator

Operators agree to indemnify, defend, and hold harmless Parkva, its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) the Operator's physical enforcement actions, including claims of wrongful towing, vehicle damage, or illegal booting; (ii) the Operator's failure to post legally compliant signage; (iii) the Operator's violation of the DPPA or any applicable privacy laws; and (iv) disputes between the Operator and any End-User.

End-User Parking & Payment Services#

This section applies to vehicle owners, residents, and guests utilizing the Services to register vehicles, pay for parking, or manage citations.

3.1Account Relationships

Using the Services creates different kinds of relationships with Parkva depending on how you come to us:

  • Monthly subscription — Parkva creates a durable account you can manage and cancel from your profile at any time.
  • Resident — Your property manager invited you onto their roster. Parkva processes your data on their behalf. To leave a roster, contact your property manager directly, or — if you have moved out — use Settings → Delete my account → “I no longer live at this property.” Leaving takes effect immediately (your vehicle authorizations at that property are revoked and any parking subscriptions there are cancelled), and your property manager is notified.
  • One-time purchases (hourly/daily pass, boot release, ticket payment) — We process your payment and deliver a receipt. No login account is created. Receipts can be retrieved via our lookup tool for 12 months.

See our Privacy Policy for how to delete your account or exercise other data rights.

3.2Rules and Compliance

All parking rates, hours of operation, rules, and enforcement policies are established strictly by the local Operator of the facility, not by Parkva. By parking at a facility utilizing Parkva Services, you agree to abide by all posted signs and Operator rules.

3.3Enforcement Consent and LPR

Failure to adhere to the Operator's parking rules or pay required fees may result in enforcement actions, including but not limited to the issuance of citations, vehicle immobilization (booting), or towing, entirely at your sole risk and expense. By parking at a facility managed by a Parkva Operator, you consent to the Operator and Parkva utilizing License Plate Recognition (LPR) technology to capture images of your vehicle's license plate to monitor compliance, and to querying applicable vehicle registration databases for the purpose of collecting unpaid citations.

3.4Payments and No Refunds Policy

When you initiate a transaction via the Services (e.g., purchasing a guest pass or paying a citation), you authorize Parkva and its third-party payment processors (such as Stripe) to charge your selected payment method. Parkva acts solely as a payment facilitator on behalf of Operators and Property Managers and is not the merchant of record for parking transactions; the Operator or Property Manager managing the applicable facility is the merchant of record and the counterparty to your purchase. Due to the time-bound, perishable nature of parking inventory, all transactions are final and non-refundable once a parking session has commenced or a citation has been paid.

3.5Dispute Resolution for Tows and Citations

Because Parkva is strictly the software provider, we have no authority to overturn citations, release booted vehicles, or issue refunds without the explicit authorization of the local Operator. Any disputes regarding citations, tows, or requests for refunds must be directed to the Operator managing the facility. You agree not to initiate chargebacks with your credit card issuer for validly processed parking sessions or citations.

To be plain about who is responsible: the decision to cite, boot, or tow a vehicle is made by the property and the Operator, not by Parkva. They set the parking rules, post the signage, and decide whether a particular vehicle is in violation. Parkva records the action and processes the payment; it does not inspect vehicles or authorize enforcement, and it is not responsible for a citation, boot, or tow that was wrongful or issued in error. If you believe an enforcement action against your vehicle was a mistake, raise it with the Operator named on your citation or notice — they are the party who can cancel, release, or refund it.

SMS and Communications Policy#

By providing your mobile phone number and explicitly opting in via our checkout or registration forms, you consent to receive transactional text messages (SMS) from Parkva and its Operators.

  • Message Scope: Messages may include parking session alerts, expiring pass notifications, enforcement updates, boot self-release codes, and payment receipts.
  • Rates and Frequency: Message frequency varies. Standard message and data rates may apply.
  • Opt-Out: You may opt out of receiving SMS messages at any time by replying “STOP” to any message. Opting out of SMS does not relieve you of your obligation to comply with parking rules or pay required fees.

Intellectual Property#

All rights, title, and interest in and to the Services (including software, algorithms, UI/UX, and branding) are and will remain the exclusive property of Parkva. You may not copy, modify, distribute, sell, or lease any part of our Services or included software.

Disclaimers and Limitation of Liability#

6.1"As Is" Basis

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARKVA BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. PARKVA ASSUMES NO LIABILITY FOR ANY PROPERTY DAMAGE (INCLUDING VEHICLE DAMAGE OR THEFT), PERSONAL INJURY, OR FINANCIAL LOSS RESULTING FROM THE ACTIONS OF THIRD-PARTY OPERATORS OR TOWING CONTRACTORS.

Governing Law and Exclusive Jurisdiction#

These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions. You and Parkva irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware for all disputes arising out of or relating to these Terms or the Services, and you hereby waive any objection to such jurisdiction or venue.
