What these terms cover#

These Platform Subscription Terms (“Subscription Terms”) govern paid subscriptions to the Parkva platform purchased by an operator or property-management organization (the “Subscriber”). They supplement the Parkva Terms of Service; if they conflict with the Terms of Service on the subject of platform subscriptions, these Subscription Terms control. Capitalized terms not defined here have the meaning given in the Terms of Service.

The subscription model#

2.1Per-property subscription

The platform is licensed per property. Your plan includes a number of property subscriptions (“Property Slots”) at the tier and rate shown in your Plan & Billing page and on each invoice. Each active property on your account occupies one Property Slot.

2.2Tiers

Slot tiers (for example, Property and Property+) differ in included functionality as described at purchase. Tier availability and included functionality may evolve; material reductions to a tier you actively pay for are treated as rate/term changes under Section 6.

2.3Rates

Your per-slot rate is the rate displayed at checkout or otherwise agreed with Parkva in writing, and appears on every invoice. Different subscribers, channels, tiers, or properties may have different rates.

Billing, renewal, and payment#

3.1Automatic renewal

Your subscription renews automatically each month on your billing date, and your saved payment method is charged the then-current plan total plus applicable taxes, until you cancel. You will receive an itemized invoice for every charge.

3.2Adding Property Slots

Additional slots take effect immediately. You are charged a prorated amount for the remainder of the current billing period at the time of the change, and the new total on subsequent invoices.

3.3Removing Property Slots / downgrades

Slot removals and tier downgrades take effect at the end of the current billing period. The affected properties remain fully active until then. Amounts already paid, including for partial periods, are non-refundable; in exchange, nothing you have paid for is shut off before the period you paid for ends.

3.4Taxes

Charges are exclusive of taxes. Where Parkva is required to collect sales tax or similar taxes, they are calculated automatically based on your billing address and itemized on your invoice. You are responsible for keeping your billing address accurate; we may pause invoicing (not service) while an address is insufficient for tax calculation.

3.5Trials

Trial terms (length, scope) are stated when your trial begins. You will not be charged at or after trial end unless you complete checkout and expressly authorize recurring billing. If you complete checkout during your trial, billing begins at trial end at the amounts shown and authorized at checkout. If you have not subscribed by trial end, no charges accrue and Section 5's day-count timeline applies to your account by analogy — with the cure being completing checkout with a valid payment method (there is no invoice to pay).

Cancellation#

4.1Cancel anytime, self-serve

You may cancel your entire subscription, or remove individual properties (a “downgrade,” see Section 3.3), at any time in Plan & Billing. A prominently displayed cancellation link is always available there; confirming it processes your cancellation immediately, without additional required steps, retention hurdles, or offers you must decline. A full cancellation is effective at the end of the current billing period, with no cancellation fee, through the same online account interface used to subscribe.

4.2Effect on properties

What happens to a property when its slot ends depends on its state, and is always shown to you, with dates, before you confirm:

  • A property with no active resident purchases is deactivated at period end.
  • A property with active resident purchases (parking passes, parking subscriptions) is never cut off out from under residents. It either winds down — existing purchases run through their already-paid terms, and the property deactivates after the last one ends — or, if the property's management arranges continued service within the Continuation Period (defined in Section 5.3; its options apply equally here), it continues under a new subscription with no interruption. Resident purchases are never cut short by your cancellation.

4.3Your data

After cancellation, your records remain available for export for at least ninety (90) days. We will provide an export of your account data on request.

Payment failure and suspension#

5.1Grace first

If a renewal charge fails, service continues unaffected during an initial grace window while we retry the charge and notify your billing contacts. You can pay the open invoice or update your payment method at any time, online.

5.2Suspension

If the invoice remains unpaid after the grace window (currently 14 days), your account is suspended: you cannot add properties or create new platform records, while existing registrations, resident access, and read access continue. Paying the open invoice lifts suspension automatically and immediately.

5.3Property deactivation and continuation

If the invoice remains unpaid after an extended window (currently 30 days), properties without active resident purchases are deactivated. For properties with active resident purchases, non-payment does not shut off resident service. Instead, you authorize Parkva, in lieu of deactivating such a property, to: (a) continue operating the property's resident-facing services (permitting, guest passes, paid parking, and related resident payments); (b) notify the property's management that your organization is no longer providing platform-enabled service at the property, without disclosing your account's financial or billing details; and (c) offer the property's management the option to take over the subscription directly, engage a different operator of the management's choosing, or wind the property down under Section 4.2. This continuation is limited to access to the Parkva platform; it does not itself terminate or modify any separate agreement you may have with the property or its management outside of Parkva, and it is undertaken solely to prevent disruption to residents — you agree it does not constitute tortious interference with, or a waiver of, your business relationships or agreements with the property or its management. Continuation is time-boxed to sixty (60) days or the period stated in the relevant notice (the “Continuation Period”), after which the property is wound down under Section 4.2 absent a decision by the property's management. This Section applies only to Parkva-hosted resident-facing services and the data reasonably necessary to continue operating the property on the platform — it does not transfer your intellectual property or internal business records to any third party.

5.4No waiver; no liability for consequences of non-payment

Suspension or continuation under this section does not relieve you of amounts owed for service already provided. You further agree that Parkva is not liable for any loss or damage — including lost enforcement or subscription revenue, resident or property disputes, or reputational harm — arising from a suspension, write-lock, or continuation under this Section 5 that results from your failure to pay when due.

5.5Payment disputes

If you or your bank initiates a chargeback, dispute, or reversal of a platform subscription charge, we may immediately suspend your account without the grace period in Section 5.1, regardless of the reason for the dispute. You remain responsible for the disputed amount and for any dispute or chargeback fees we incur, and Parkva may pursue collection of both. Suspension lifts once the dispute is resolved in Parkva's favor or you pay the disputed amount and fees.

Rate and term changes#

6.1Advance notice

We will email your billing contacts thirty (30) days before a rate increase or a material adverse change to these Subscription Terms takes effect for your account. The notice will state your current rate, the new rate or change, and the effective date, which will fall on a billing-period boundary.

6.2Your choice

If you do not wish to continue at the new rate or terms, cancel under Section 4 before the effective date; you will not be charged the new rate. Continuing to use the subscription after the effective date constitutes acceptance.

6.3Rate decreases and changes that are not adverse to you may take effect immediately.

Service continuity and changes#

7.1We may improve, modify, or retire platform features. We will not materially reduce the core functionality of a tier you actively pay for without treating it as a change under Section 6.

7.2Planned maintenance and availability are handled as described in the Terms of Service. Platform subscription fees do not depend on resident payment volumes or enforcement outcomes.

Relationship to other agreements#

8.1These Subscription Terms incorporate the Parkva Terms of Service and Privacy Policy.

8.2Resident and end-user payments (parking, passes, tickets, boot-release) are separate transactions governed by their own terms and, where applicable, processed with the property or operator as merchant of record. Nothing in these Subscription Terms changes those flows or their revenue arrangements.

8.3If you have a separately negotiated written agreement with Parkva, that agreement controls over these Subscription Terms to the extent of any conflict.

8.4Billing-ownership transfer

Where a property's subscription moves to a new payer under Section 5.3 (or by agreement, such as a property manager assuming direct billing), the new payer subscribes at Parkva's then-current published rate for that tier unless Parkva agrees otherwise in writing. Rates, discounts, or account-specific terms negotiated with you do not automatically carry over to the new payer or any other billing account.

General#

Sections of the Terms of Service governing acceptable use, intellectual property, confidentiality, warranty disclaimer, limitation of liability, governing law (Delaware), and venue apply to these Subscription Terms. Questions about billing: your Plan & Billing page, or info@parkva.com.
